International Business Card Terms (International B2B)

These International Business Card Terms (Card Terms) apply when you apply for, activate or use an Endl Business Card issued for a business customer whose Endl profile is registered outside the United States.

These Card Terms are between:

  • The business customer identified on the Endl Account application (Company, you or your)
  • Zayment Finance SP Z.O.O, doing business as Endl (Endl, we or us) and
  • The card issuing bank or financial institution identified on the back of your Card or in your card materials (Issuer).

By applying for, activating or using any Business Card under your Endl Account, you agree to these Card Terms on behalf of the Company.

These Card Terms are additional terms under:

  • The Endl Terms and Conditions and
  • The Endl Customer Agreement (collectively, the Endl Platform Terms).

If there is any conflict between these Card Terms and the Endl Platform Terms, these Card Terms apply for any matter related to your Business Cards. The Endl Platform Terms continue to apply to your Endl Account and your use of other Endl Services.

Defined terms used but not explained in these Card Terms have the meaning given in the Endl Platform Terms.

1. Program scope and eligibility

1.1 The Endl International Business Card program is available only to legal entities that:

a. Are validly formed and in good standing under the laws of a country or territory where endl offers the international business card program and which is not on any restricted list that we publish or notify to you b. Meet any local eligibility criteria that endl and issuer apply for that country or region c. Successfully complete endl onboarding and any issuer due diligence and d. Hold an active endl account in good standing.

1.2 The Business Card is a business product. You must ensure that all Cards issued under your Endl Account are used only for bona fide business, commercial or professional purposes of the Company and not for personal, family or household spending.

1.3 Endl and Issuer may refuse to issue Cards or may cancel existing Cards where required by law, by card network rules or by their own risk policies.

2. Your Endl Account and funding the Cards

2.1 To receive and use Business Cards you must hold an Endl Account in the name of the Company. Each Business Card is a way to access value that the Company holds in its Endl Account.

2.2 The Endl Account may reflect balances in one or more fiat currencies and supported digital assets, including stablecoins. These balances may be held with or through third party service providers, as described in the Endl Platform Terms and any regional addendum that applies to your Endl Account.

2.3 You may be able to:

  • Add funds to the Endl Account by sending fiat funds to a virtual account number that Endl or its partners provide
  • Add or withdraw supported digital assets to or from a compatible wallet address linked to the Endl Account and
  • Convert between supported fiat currencies and supported digital assets, as available in the app.

2.4 To use the Business Cards you must instruct Endl, through the app or any channel we make available, to allocate or load a portion of the Company’s available Endl Account balance to one or more Business Cards. Endl may treat that allocated amount as reserved for Business Card use.

2.5 Each Business Card will only be usable up to the available amount that has been allocated to it, subject to any limits set by Endl or Issuer and any authorisation holds.

2.6 Endl and Issuer may impose minimum or maximum load amounts per Card or per program and may change these from time to time.

3. Using your Business Cards

3.1 Business Cards may be physical cards, virtual cards or both. Each Business Card will carry a card number and other details that allow a Cardholder to initiate transactions.

3.2 The Cards are issued by the Issuer under licence from the relevant card network (Card Network), such as Visa. Endl provides the technology platform and program management for the Business Card program and acts as your interface with Issuer.

3.3 The Company may request issuance of Business Cards to its employees, contractors or other individuals that it authorises to use Cards on its behalf (Authorised Users). Endl may require each Authorised User to accept user level terms in the app.

3.4 Authorised Users may use Business Cards, where accepted:

  • At merchants that accept cards of the relevant Card Network
  • Online, in store or in mobile wallets, where enabled
  • To make purchases of goods and services for the Company
  • For other transaction types that Endl or Issuer expressly enables in the app.

3.5 Cash access, including ATM withdrawals or cash advances, is only permitted if Endl and Issuer enable it for your Business Card program. If allowed, additional fees and limits may apply.

3.6 Endl and Issuer do not guarantee that any merchant, ATM operator or payment terminal will accept Business Cards. They may refuse a transaction for their own reasons, or where required by law or card network rules.

3.7 You must ensure that:

  • Each Business Card is used only by the Authorised User to whom it is issued
  • Business Cards are used only for Company purposes and not for personal spending
  • Any limits or controls you set in the app are consistent with these Card Terms.

3.8 The Company is responsible for all transactions made with Business Cards issued under its Endl Account, including transactions by Authorised Users that exceed the Company’s internal permissions or policies.

4. Not a bank account and no deposit protection

4.1 Business Cards are payment instruments that let you spend value from the Company’s Endl Account. They are not:

  • Bank accounts
  • Savings products
  • Checking accounts or deposit products
  • Credit lines or overdraft facilities.

4.2 Amounts available to spend with Business Cards are not deposits and may not benefit from deposit insurance or other protections that apply to bank deposits in your country. Any protections that may apply will be set out in the Endl Platform Terms or in any separate agreement you have with a regulated partner.

4.3 The Endl Platform Terms and any regional addendum describe how fiat balances and digital assets are held for the Company and any risks that apply. You should read those terms carefully before using Business Cards.

5. Authorisations, limits, declines and holds

5.1 When an Authorised User tries to make a transaction with a Business Card, the merchant or ATM operator will usually send an authorisation request to the Card Network and Issuer. Issuer may approve or decline that request.

5.2 Authorisation checks may look at:

  • The amount allocated to the relevant Business Card
  • Program limits, daily or monthly caps per Card or per Company
  • Risk and fraud checks and
  • Any legal, sanctions or compliance restrictions.

5.3 Endl or Issuer may set and change:

  • Per transaction limits
  • Daily, weekly or monthly spending limits
  • ATM withdrawal limits
  • Limits by merchant type or geography
  • Aggregate limits across all Business Cards in the Company’s program. Some of these limits may be visible in the app. Others may not be visible for security or risk reasons.

5.4 Issuer or Endl may decline or block a transaction, or may place a temporary hold on a Business Card or on the Company’s program, for example where:

  • There are insufficient funds allocated to the relevant Business Card at the time of authorisation
  • The Company appears to be in breach of these Card Terms or the Endl Platform Terms
  • Unusual, suspicious or high risk activity is detected
  • Required by law, by sanctions rules, or by a regulator
  • The merchant category is blocked for the program.

5.5 Some transactions, including those where the final amount is not known at the time of authorisation, may result in a temporary hold on a higher amount than the final settled transaction. That higher amount may reduce the Company’s spendable balance until the final settlement is received or the hold expires.

6. Fees and foreign exchange

6.1 Fees may apply to Business Card transactions and services. These can include:

  • Card issuance or replacement fees
  • Atm withdrawal fees
  • Foreign transaction or cross border fees
  • Program level account or service fees
  • Other usage based fees.

6.2 The current fees applicable to your Business Card program will be displayed in the app, on the Endl website or in a fee schedule we provide. Endl may update fees in line with the Endl Platform Terms. We will give any notices required by law.

6.3 If an Authorised User makes a transaction in a currency that is different from the currency in which the Business Card is currently operating, foreign exchange will apply. FX may be:

  • Set by the Card Network, Issuer or Endl and
  • Inclusive of spreads or margins, as described in the app or fee schedule.

6.4 The FX rate you receive may differ from public market rates and may differ between transactions. The applied rate and any FX related fees will be as described in the app or on the fees page at the time of the transaction.

6.5 You authorise Endl to deduct all applicable fees and charges arising from Business Card use from the Company’s Endl Account or any amount allocated to Business Cards.

7. Prohibited and restricted use

7.1 You must ensure that all Business Card use complies with applicable law. You must not permit Business Cards to be used in a way that:

  • Is illegal, fraudulent or abusive
  • Breaches sanctions, anti money laundering or counter terrorism laws
  • Would support activities on endl prohibited lists or the card network prohibited merchant category codes
  • Involves the purchase of items or services that are unlawful in the relevant location.

7.2 You must also comply with the prohibited use and acceptable use rules set out in the Endl Platform Terms and any regional addendum. Those rules apply to Business Card transactions as well as to other Endl Services.

7.3 You must not permit Business Cards to be used for personal, family or household expenses. If we reasonably believe a Business Card is being used for non business purposes, we may suspend the Card or require you to move to a consumer program where available.

7.4 Endl and Issuer may monitor Business Card activity and may block transactions or suspend Cards where they believe there is a breach or risk of breach of this section.

8. Negative balances and set off

8.1 A negative balance related to your Business Cards can arise for several reasons, including where:

  • A transaction is authorised when the balance appears sufficient but settles later when the allocated amount is lower
  • A merchant submits a higher final amount than the provisional authorisation, where permitted
  • Chargebacks or reversals are decided against the company
  • Fees or adjustments are applied after the transaction.

8.2 If a negative balance arises on any Business Card or on the Company’s Endl Account due to Business Card activity, the Company must repay that amount to Endl immediately on demand.

8.3 You authorise Endl to:

  • Deduct any negative amount from positive balances in the Company’s Endl Account, including in other fiat currencies or supported digital assets and
  • Convert between currencies or digital assets as needed to clear the negative balance, using the FX rates described in the Endl Platform Terms and any regional addendum.

8.4 If you do not promptly repay any negative balance, Endl may take recovery action. This can include using lawful collection methods and reporting unpaid amounts where required.

9. Security, lost or stolen Cards and unauthorised transactions

9.1 You must put in place reasonable controls to keep Business Cards and any related PINs, passwords or security codes safe. This includes ensuring that Authorised Users:

  • Do not write down pins in plain language
  • Do not share pins or one time codes
  • Do not allow others to see pins when entering them
  • Keep devices and app access secure with biometrics or other safeguards.

9.2 If any Business Card, card number, Company login credentials or Authorised User credentials are lost, stolen, compromised or used without permission, you must ensure that Endl is notified as soon as possible using the contact methods shown in the app or on the website.

9.3 Endl may allow you or Authorised Users to freeze or block Business Cards in the app. You should do this as soon as you suspect any compromise, but you must also contact support so that we can assist with replacement and investigation.

9.4 The Company’s liability for unauthorised transactions will be determined under:

  • These Card Terms
  • The Endl Platform Terms
  • Any regional addendum that applies to your Endl Account and
  • Applicable law and card network rules. Business Cards are intended for business use, and consumer specific protections may not apply.

9.5 You agree to cooperate fully with any investigation of actual or suspected unauthorised transactions, including providing information, documents and statements that we or Issuer reasonably request and ensuring that Authorised Users do the same.

10. Disputes with merchants and chargebacks

10.1 If the Company or an Authorised User has a dispute with a merchant about a Business Card transaction, you should first try to resolve it directly with the merchant.

10.2 If you cannot resolve the dispute with the merchant, you may be able to exercise chargeback rights under card network rules. Endl will provide a way for you to request a chargeback, usually through the app or support channels.

10.3 You must submit any chargeback request promptly and within any time limits that apply. These time limits are often short. If you miss a deadline, chargeback rights may be lost.

10.4 Endl and Issuer will assess your chargeback request under the applicable card network rules. You may be asked to provide supporting information and documents.

10.5 While a chargeback is in progress, the disputed amount may still count toward program limits and available balances. If the chargeback is resolved in your favour, we will credit the relevant amount to the Company’s Endl Account. If it is not resolved in your favour, the transaction will stand and any related negative balance must be repaid.

11. Suspension, cancellation and expiry

11.1 Endl or Issuer may suspend or cancel one or more Business Cards, or the entire Business Card program for the Company, or restrict certain features, at any time where:

  • Required by law, regulation or card network rules
  • Required by a regulator or law enforcement agency
  • They reasonably believe there is fraud, misuse, security compromise or breach of these card terms, the endl platform terms or any regional addendum
  • The company’s endl account is suspended or closed
  • The company fails to repay a negative balance or pay applicable fees.

11.2 If a Business Card expires, is cancelled or is suspended, the relevant Authorised User must stop using it immediately. The Company must ensure that any physical cards are destroyed by cutting them through the chip and magnetic stripe, unless instructed otherwise.

11.3 Ending or suspending Business Cards does not affect the Company’s obligations that have already arisen, including the obligation to repay any negative balance and to pay fees that are due.

11.4 You may request to close the Business Card program or specific Business Cards at any time through the app or by contacting support. If you do so, you must first clear any outstanding transactions and repay any negative balance related to the Business Cards.

12. Changes to these Card Terms and to the program

12.1 Endl and Issuer may make changes to these Card Terms and to the Business Card program, including:

  • Changes to features or functionality
  • Changes to limits, eligibility or access
  • Changes to fees and fx terms, together with the endl platform terms and any regional addendum.

12.2 Where required by law, Endl will give you advance notice of changes and tell you how they will affect you. For some changes, you may have a right to close your Business Card program before the change takes effect.

12.3 If you continue to use Business Cards after a change takes effect, you are taken to have accepted the updated Card Terms.

12.4 If a change is not acceptable to you, you must stop using Business Cards and request closure. Closure will not affect any obligations that have already arisen.

13. Governing law, dispute resolution and other terms

13.1 These Card Terms form part of the Company’s overall agreement with Endl and Issuer and are read together with the Endl Platform Terms and any regional addendum that applies to your Endl Account, such as the European Union Addendum.

13.2 For International Business Cards, the governing law and dispute resolution provisions in the Endl Customer Agreement and any regional addendum that applies to your Endl Account apply to any dispute related to these Card Terms and your Business Card program, except where Issuer is required by law to apply another law or dispute resolution mechanism. In that case, any special Issuer requirements will be disclosed in your card materials.

13.3 Any arbitration and class action waiver described in the Endl Platform Terms and any regional addendum applies equally to disputes arising under these Card Terms, to the extent permitted by law.

13.4 If any provision of these Card Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.5 Endl may assign or transfer its rights and obligations under these Card Terms to another entity within the Endl group or to a successor in connection with a reorganisation, merger or sale of business, where permitted by law. Issuer may assign its rights and obligations as permitted under its own terms and applicable law. You may not assign or transfer the Company’s rights or obligations under these Card Terms without our consent.
